BYLAWS of Massabesic Athletic Boosters, Inc.
ARTICLE I - NAME
Section 1: The name of this organization shall be the
Massabesic Athletic Boosters.
ARTICLE II - CHARTER & PURPOSE
Section 1: The Massabesic Athletic Boosters is a
voluntary association of individuals, organized to support,
promote, and encourage the student athletes and athletic
programs of the MSAD #57 Junior High and High School. (An
Athletic Program is a team or club that is competing
interscholastically).
- The eligibility for
financial, physical and emotional support for which the
Masssabesic Athletic Boosters provide will include clubs
or teams who are involved in the MSAD #57 Athletic
programs. Consideration for said support will be given
with the entire team / club in mind.
- Not withstanding any other
provision of these Articles, this organization shall not
carry on any activities not permitted to be carried on by
an organization exempt from Federal Income Tax under
Section 501 (c) (3) of the Internal Revenue Code of 1986
or the corresponding provision of any future United
States Internal Revenue Law.
- No part of the activities of the
corporation shall be carrying on propaganda, or otherwise
attempting to influence legislation, or participating in,
or intervening in (including the publication or
distribution of statements), any political campaign on
behalf of any candidate for public office.
Section 2: Financial contributions may be provided
when requested in writing (and preferably in person) or when
a need is perceived, to athletic programs for the purpose of
purchasing necessary equipment or upgrading existing
facilities. It is not the intent of the Boosters to provide
items for personal use for team or coaching personnel.
Section 3: Upon agreement of the voting membership,
contributions may be provided for support during special and
unusual team events to help defray the expenses of travel,
lodging or meals.
Section 4: The Massabesic Athletic Boosters, upon
agreement of the voting membership, may provide
contributions for awards, prizes and gifts to special school
functions related to the programs. Such functions shall
include but not be limited to the following:
(1) Award Ceremonies;
(2) Graduation or Class activities;
(3) Homecoming Activities;
(4) Banquets.
Section 5: The Massabesic Athletic Boosters, upon
agreement of the voting membership, may provide financial
support towards the purchase of team appearance items which
represent Massabesic High School and Massabesic Junior High
School in the MSAD #57 school district. Uniforms are
excluded from consideration. Guidance for the expenditure of
this financial support is provided as follows:
(1) The Boosters will provide the fair market value
for the purchase of a State Championship jacket or ring, if
said team or individual wins a state event. Athletes
eligible to receive a jacket or ring will be determined by
the voting membership with the guidance of the Athletic
Director and the coaching staff;
(2) Repeat State Champions will be eligible for a
repeat jacket or ring;
(3) Team sweaters, warm-ups and gym traveling bags,
are examples of items to be
considered under this provision. Such items would be the
property of the MSAD #57 Athletic Department and shall
remain the responsibility of the Athletic Director and the
coaching staff.
ARTICLE III - MEMBERSHIP
Section 1: Any person interested in promoting the
Massabesic Athletic Program may become a voting member of
the Massabesic Athletic Boosters by participating in Booster
activities for six consecutive months.
Section 2: Categories of Membership include:
Active/voting--individuals who have participated in
Booster activities for six consecutive months;
Active/non-voting-individuals who have participated
in Booster activities but have not yet attained voting
status; Inactive--individuals who have participated
in Booster activities but are not currently active;
Lifetime members--individuals who paid $25 to attain
Lifetime Membership during the early 1990's.
Section 3: Changes in Categories: The Board of Directors
may establish categories of membership other than those
described in Article III, Section 2.
ARTICLE IV - MEETINGS
Section 1: Annual Meeting: The date of the regular
annual meeting is the third Monday in May at Massabesic High
School. The President and/or Board of Directors may adjust
the date, time and place as the need arises.
Section 2: Regular scheduled meetings will be
conducted on the third Monday of each month for the
transaction of monthly Booster business. The President
and/or Board of Directors may change the dates of the
regular meetings in order to meet the needs of the
organization.
Section 3: Special meetings may be called by the
President or the Board of Directors.
Section 4: Notice of meetings shall be posted in each
school and on the Booster website:
massabesicboosters.com at the earliest
convenience. Announcements shall be made at the High School
the Friday prior to the meeting, and again on the morning of
the scheduled meeting.
Section 5: Should a meeting date fall on a Monday
when school is canceled, the meeting will be postponed until
the next regular monthly meeting, or, if rescheduling is
necessary, will be determined by the President and the Board
of Directors. Notices of postponement or rescheduling will
be announced in the schools and posted on the Booster
website.
ARTICLE V - OFFICERS AND BOARD OF DIRECTORS
Section 1: The Officers of the Massabesic Athletic
Boosters shall be: President, Vice President; Secretary,
Treasurer, Purchasing Coordinator, Concession
Coordinator.
Eligibility and terms:
An Officer must be a resident of one of the six towns
included in MSAD #57 or whose children attend or have
attended MSAD #57 schools, as well as any persons who teach
and/or are employed by MSAD #57, or whose children attend
MSAD #57 as a result of the fact that one or both of their
parents are employed thereby, regardless of where said
persons may reside.)
Section 2: The Officers shall be elected for one year
or until successors have been elected and accepted
office.
Section 3: The Officers shall constitute the Board of
Directors.
Section 4: The Officers shall be elected at the
annual meeting.
Section 5: Election of Officers shall be by a simple
majority of votes cast for any candidate by members present
at the annual meeting in May.
Section 6: Duties of Officers:
The President shall convene regularly
scheduled meetings, shall preside over or arrange for other
members of the Board of Directors to preside at each
meeting. The President shall sign, with the Treasurer, all
written contracts or obligations of the Massabesic Athletic
Boosters.
The Vice-President shall officiate as
President during any absence of the President, and assist
the President with all duties.
The Secretary shall be responsible for keeping
records of all Booster meetings, including overseeing the
taking of minutes at all meetings. All records shall be the
property of the Massabesic Athletic Boosters and shall be
open to the inspection of any member at a reasonable time.
The Secretary shall conduct all correspondence of the
Boosters and shall act as clerk of any committee upon
request. The Secretary shall maintain an accurate account of
membership.
The Treasurer shall have the custody of all
Massabesic Athletic Booster monies, shall disburse same as
directed by the voting membership, and shall keep a record
of all Booster accounts, such records being the property of
the Boosters. The Treasurer shall make a report at each
regular meeting, provide a yearly account of all
transactions, and make financial information available to
Board Members and the public at a reasonable time.
The Purchasing Coordinator shall coordinate
the purchasing of all supplies, including food and
beverages, for the concessions.
The Concession Coordinator shall coordinate
volunteers to work the concessions for all possible events.
The Concession Coordinator shall supply updated volunteer
lists to the President and Vice-President for all
events.
Section 7: Resignations and Vacancies. When a vacancy
on the Board of Directors exists, the office may be filled
by a majority vote of the voting membership present at the
next Booster meeting. These vacancies will be filled only to
the end of the current term in May.
Section 8: Powers of Officers. The officers with the
consent of a simple majority of the membership present,
shall have all the powers of an Executive Board, and shall
have the entire management and control of Booster property,
and shall exercise general superintendence over all affairs
of the Massabesic Athletic Boosters. The Officers shall have
power to make all necessary contracts and expenditures.
Section 9: Nominating Committee. The Nominating
Committee shall be elected at the March meeting and shall
consist of three members. They shall present to the annual
meeting a list of the candidates nominated and shall prepare
ballots for use in voting, if so needed for the election of
officers. Candidates for election may also be nominated by
any member at the annual meeting.
ARTICLE VI - COMMITTEES
Section 1: The President and Board of Directors may
create committees as needed, such as membership, building
and maintenance, etc.
ARTICLE VII - AMENDMENTS
Section 1: These Bylaws may be amended when necessary
by a two-thirds majority of the voting membership. Proposed
amendments must be submitted in writing, to the voting
membership at a regular meeting. Copies of the proposed
changes will be available from the President and Secretary
and published on the Booster website the month prior to the
second vote. The changes must be approved by two thirds of
the voting membership at two consecutive regular
meetings.
